Beneficial Ownership Information Reports are due March 21.

Hey - Mike from Discern here,

Your eyes do not deceive you. The Corporate Transparency Act is back in effect, and Beneficial Ownership information Reports (BOIRs) for most non-exempt entities that haven't filed yet is March 21 (30 days from now). Filing is no longer voluntary.

As always, Discern customers can file through Discern in minutes, and get evidence back instantly.

FinCEN's website has a longer update. For our money, that's typically the best place to find information on the subject, since they are responsible for enforcing the Corporate Transparency Act.

What happened?

The Supreme Court stayed the remaining injunction for Smith v. U.S. Department of Treasury. There was a bit of confusion in the media at the end of January as the Supreme Court had stayed the injunction for Texas Top Cop Shop, Inc., v. McHenry, but hadn't for the other nationwide injunction - and that is why you didn't get an email from us. As you can see, both injunctions are stayed now.

So what now?

If you haven't filed Beneficial Ownership Information Reports for your entities and they are not exempt - you have until March 21, 2025 to file (30 days from now).

If you want to talk with someone about the CTA and what you may need to do - my door is metaphorically open.
